Authorized distributor: meaning and how to become one

What being an authorized distributor of a brand means, how it differs from an official or an exclusive distributor, and the requirements brands usually ask for.

An authorized distributor is a company approved by a brand to buy its products and resell them through the official channel, usually alongside other distributors. Authorization usually means original product and contract terms agreed with the brand, but it does not imply exclusivity: that is a separate figure, the exclusive distributor.

Authorized

Approved by the brand

Buys directly from the brand or its official channel and resells with its backing. There can be several in the same market.

Official

In practice, the same

«Official distributor» and «authorized distributor» are used as synonyms: a company recognised by the brand as part of its channel.

Exclusive

The only one in the territory

The brand commits not to appoint others in that area. It is a different agreement, with more obligations on both sides.

What is an authorized distributor?

An authorized distributor is a company that holds a brand’s formal permission to distribute its products in a given market or channel. That permission is usually set out in a distribution agreement covering the territory, the sales channels and the obligations of each party.

For the store that buys, working with an authorized distributor usually means original product through the official channel, in line with the brand’s requirements. For the distributing company, it usually means buying from the official channel on agreed terms and being able to use the brand’s name in its sales material, within what the contract allows.

You will also see the spelling authorised distributor, with an S: it is the same figure in British English. The concept is common in consumer goods such as food, cosmetics and personal care, including oral care products such as toothpaste, toothbrushes, mouthwash or dental floss.

Authorized, official and exclusive: the differences

Figure Who appoints it? Can there be several? What it brings
Authorized distributor The brand, by contract Yes, usually Original product through the official channel
Official distributor The brand, by contract Yes; the same concept under another name Public recognition by the brand
Exclusive distributor The brand, by contract No: one per territory A protected territory in exchange for targets

If you are weighing up exclusivity, we explain the three figures in depth in our guide to the exclusive, sole and authorised distributor. In every case, what counts is what each party signs in the contract.

What do you need to become an authorized distributor?

Every brand sets its own conditions, but the requests repeat across sectors. Before authorizing a company, brands usually weigh its experience in the channel, its sales coverage and its logistics and financial capacity.

Portfolio fit also matters: it is advisable to consider whether your customers already buy products in the same category.

The usual requirements, step by step

  1. A registered company The brand will ask for your company’s legal and tax details and, depending on the country, the import or sales licences that apply.
  2. Experience in the channel Be ready to show who you sell to today: wholesalers, pharmacies, supermarkets, stores or online.
  3. Sales coverage The area you work in, your sales team and the active routes or customers you can take the brand to.
  4. Logistics capacity Warehousing and delivery suited to the product, and a realistic opening order volume.
  5. A development proposal A simple plan of who you will sell the brand to and how, with a first-year forecast.

With those points ready, the process is the same as for any distribution: contact the brand, present your company and negotiate the agreement. We cover it end to end in how to become a distributor.

What the authorization usually includes

Authorization is formalised in a distribution agreement. At a minimum, it usually sets the territory and channel, how the distributor may use the brand in its communication, and the duration of the agreement with its termination causes.

Many brands add service conditions: keeping sufficient stock, respecting the products’ image at the point of sale and reporting regularly on sales and the market.

Why become an authorized distributor

For the distributing company, authorization has three general advantages. The first is stability: you buy from the official channel, on terms agreed by contract. The second is your customers’ trust: the store knows it is buying from an authorized company. The third is a direct relationship with the brand, on the terms both parties agree.

In return, the distributor commits to looking after the brand: respecting the agreed channels, keeping stock and not neglecting the market entrusted to it. It is an exchange that works when both sides want to grow in the same direction, which is why brands study every application before authorizing a company.

Frequently asked questions

What does authorized distributor mean?

It means the brand has formally approved your company to buy and resell its products through the official channel, under the terms set in the distribution agreement: territory, channels, prices and each party’s obligations.

Are an authorized distributor and an official distributor the same thing?

In practice, yes: both terms describe a company recognised by the brand as part of its sales channel. «Official» is used more towards the public and «authorized» in contracts, but they are not different legal figures.

Authorized or authorised: which is correct?

Both. «Authorized» is the American spelling and «authorised» the British one. Brands and contracts use either, and they mean exactly the same.

Does an authorized distributor have exclusivity?

Not necessarily. Authorization lets you distribute the brand, but territorial exclusivity is a separate commitment that must be agreed on its own. There can be several authorized distributors in one country.
